TERMS & CONDITIONS
for the Ad Help Desk Offered by Caroline M Wood
The terms “I,” “me,” and “my” refer to Caroline M Wood. The term the “Ad Help Desk” and “Service” refers to the Ad Help Desk offered by Caroline M Wood . The terms “members,” “you,” and “your” refer to site visitors, customers, members and any other users of the Ad Help Desk
Use of the Ad Help Desk is subject to the following Terms and Conditions. These Terms and Conditions apply to all site visitors, customers, and all other users of the site. By using the Ad Help Desk, you agree to these Terms and Conditions, without modification, and acknowledge reading them.
The Ad Help Desk is an email support service with training material to support you in creating and managing Facebook ads for your business.
Under the terms of this Agreement, Caroline M Wood agrees to provide members of the Ad Help Desk the following support:
- Email support in creating in managing your Facebook ads. While no guarantees are provided around the timeframes for replies, I will endeavour to respond in 24 hours to any emails submitted between 3pm Sunday and 3pm Thursday Australian Eastern Standard Time. For emails submitted between 3pm Thursday AEST and 3pm Sunday AEST I will endeavour to respond by midnight AEST of the following Monday. Advance notice will be provided where it is know these timeframes may not be achieved including during my annual holiday.
- Training material on Facebook ads to be provided on the support portal being utilised by Caroline M Wood. This is currently available at carolinemwood.kayako.com, however I reserve the right to change the portal at any time.
Requirements of you:
All emails must either be submitted to firstname.lastname@example.org or through the support portal being used by Caroline M Wood. Note, I reserve the right to change the portal at any time.
Any requests for support not submitted through these two mechanisms will not be replied to.
I reserve the right to substitute services equal to or comparable to the services listed if the need arises, without prior notice.
I endeavour to describe and display the Service as accurately as possible. However, from time to time I may correct errors in pricing and descriptions. I reserve the right to refuse or cancel any order with an incorrect price listing.
USE OF THE AD HELP DESK
To access or use the Ad Help Desk, you must be 18 years of age or older and have the requisite power and authority to enter into these Terms and Conditions. Children under the age of 18 are prohibited from using the Service. Information provided in the Ad Help Desk is subject to change.
I make no representation or warranty that the information provided, regardless of its source (the “Content”), is accurate, complete, reliable, current, or error-free. I disclaim all liability for any inaccuracy, error, or incompleteness in the Content.
Facebook regularly updated its ad management service without warning and as such I am unable to guarantee that any information provided reflects the latest information about Facebook ads. In addition, features are not rolled out to all users at the same time and so the Facebook ad system you see may be different to mine.
REFUSAL OF SERVICE
The Services are offered subject to my acceptance of your order or requests. I reserve the right to refuse service to any order, person or entity, without the obligation to assign reason for doing so. No order is deemed accepted by me until payment has been processed. I may at any time change or discontinue any aspect or feature of the Service, subject to me fulfilling my previous responsibilities to you based on acceptance of your payment.
I will email you to confirm the placement of your order and with details concerning accessing the Ad Help Desk. In the event that there is an error in this email confirmation, it is your responsibility to inform us as soon as possible.
DURATION OF AGREEMENT
Once confirmed, I will provide you access to the Service. You agree and understand that access to the Service may at times be influenced and affected by third parties that I use to provide the Service (video hosting, help desk software, email systems etc.). You agree and understand that no breach of contract action may be initiated against Caroline M Wood where there are reasonable delays in the access of the Service.
I reserve the right to terminate the Service, and or access to certain features of the Service, with or without prior notice to you. I will make reasonable efforts to provide notice but is not required to do so under the terms of this agreement.
CANCELLATIONS, REFUNDS & RETURNS
I offer a 7 day refund policy should you be unhappy with the Service. To apply for a refund please contact support at email@example.com.
The minimum subscription period is 3 months. Your subscription will be renewed automatically at the end of the 3 month period. You may cancel a subscription after 3 months but no refunds will be made for any subscription fees already paid (unless you apply for a refund within the first 7 days of your subscription). Once you cancel, you will no longer have access to the Service, including all content and other resources, after your current subscription period is completed.
The 7 day refund period only applies to your first subscription and can’t be used more than once.
INTELLECTUAL PROPERTY RIGHTS TO YOUR MATERIALS
I claim no intellectual property rights over the material you supply to me. You retain copyright and any other rights you may rightfully hold in any content that you submit through the Ad Help Desk. Content you submit to me remains yours to the extent that you have any legal claims therein. You agree to hold Caroline M Wood harmless from and against all claims, liabilities, and expenses arising out of any potential or actual copyright or trademark misappropriation or infringement claimed against you.
You consent to recordings being made of calls or webinars provided as part of the Service to assist in providing the service to you.
You agree and acknowledge that Caroline M Wood may at any time reproduce and/ or disseminate any testimonial(s) describing or otherwise referencing, either directly or indirectly, your experience participating in the Ad Help Desk, including any specific results experienced by you over the course of such participation.
MY INTELLECTUAL PROPERTY
The Ad Help Desk contains intellectual property owned by Caroline M Wood, including trademarks, copyrights, proprietary information, and other intellectual property. Caroline M Wood’s copyrighted and original materials are provided to you as part of the Ad Help Desk for your individual use only and a single-user license. All intellectual property, including Caroline M Wood’s copyrighted materials shall remain the sole property of the Caroline M Wood. No license to sell or distribute our materials is granted or implied.
You may not modify, publish, transmit, participate in the transfer or sale of, create derivative works from, distribute, display, reproduce or perform, or in any way exploit in any format whatsoever any of the Service Content or intellectual property, in whole or in part, without our prior written consent. This includes but is not limited to sharing material with others, posting excerpts of material on any social media, blogging about the material, or in any other way that would reasonably appear to share the Service’s information with a non-member. I reserve the right to immediately remove you from the Service, without refund, if you are caught violating this intellectual property policy.
THIRD PARTY RESOURCES
The Ad Help Desk may contain links to third party websites and resources. You acknowledge and agree that I am not responsible or liable for the availability, accuracy, content, or policies of third party websites or resources. Links to such websites or resources do not imply any endorsement by or affiliation with Caroline M Wood. You acknowledge sole responsibility for and assume all risk arising from your use of any such websites or resources.
I may at any time amend these Terms and Conditions. Such amendments are effective immediately upon notice to you by us emailing a link to you of the new terms and conditions and sharing them on the Ad Help Desk portal. Any use of the Service by you after being notified means you accept these amendments. I reserve the right to update any portion of our Service, including these Terms and Conditions, at any time.
LIMITATION OF LIABILITY
No guarantee of success is made. By accepting the terms of this Agreement, you agree and understand that the Ad Help Desk provides advice and related training only and guarantees no specific results.
In no event will Caroline M Wood be liable to you or any party related to you for any damages, including damages for loss of business profits or other pecuniary loss, whether under a theory of contract, warranty, tort (including negligence) products liability or otherwise, even if Caroline M Wood has been advised of the possibility of such damages. Limitations herein described shall be applied to the greatest extent enforceable under applicable law.
You shall indemnify and hold ME harmless from and against any and all losses, damages, settlements, liabilities, costs, charges, assessments, and expenses, as well as third party claims and causes of action, including, without limitation, attorney’s fees, arising out of any breach by you of any of these Terms and Conditions, or any use by you of the Site or Service. You shall provide me with such assistance, without charge, as I may request in connection with any such defence, including, without limitation, providing us with such information, documents, records, and reasonable access to you, as I deem necessary. You shall not settle any third party claim or waive any defence without my prior written consent.
EFFECT OF HEADINGS
The subject headings of the paragraphs and subparagraphs of this Agreement are included for convenience only and shall not affect the construction or interpretation of any of its provisions.
The understanding between the parties about the subject matter of this Agreement is covered entirely in this document and no previous agreements, representations or warranties will have any effect.
If any term, provision, covenant, or condition of this Agreement is held by an arbitrator or court of competent jurisdiction to be invalid, void, or unenforceable, the rest of the Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
This Agreement is governed by the laws of the State of New South Wales in Australia and the courts of the Jurisdiction are entitled, non-exclusively, to resolve disputes about this Agreement.
SUCCESSORS IN TITLE
This document continues for the benefit of, and binds, a successor in title of a party, including a person to whom a party’s rights and obligations are assigned in accordance with this document.
All notices, requests, demands, and other communications under this Agreement shall be in writing and properly addressed as follows:
